This Agreement is between All Digital Productions, Inc. ("ADP") and the Contact / Signer listed above ("Client"). The event, package and pricing information above are part of this Agreement. Our goal is simple: ADP will provide the package and deliverables described above, and Client will provide the access, information and payment needed for ADP to do the work.
1. Reserving Your Date & Payment
ADP reserves the event date after receiving this signed Agreement and the booking retainer shown above. Because ADP holds the date and may turn away other work, the retainer is non-refundable and earned when received. The remaining balance is due 30 days before the event. If this Agreement is signed within 30 days of the event, ADP may require full payment at booking.
Client is responsible for any bank or payment-processor fees caused by a returned or reversed payment, plus a $35 administrative fee. ADP may pause services or delivery while an amount is past due. Before initiating a chargeback, Client agrees to contact ADP and allow a reasonable opportunity to address any concerns.

2. If Your Plans Change
Cancellation must be provided in writing. The amount due depends on when ADP receives the notice:

Payments already made are credited toward the applicable amount. Client may request one rescheduled date within one year of the original event date, subject to ADP's availability and a $200 rescheduling fee. If ADP is unavailable on the requested date, the cancellation terms apply. Material changes to the date, hours, location or scope may change pricing.
3. Coverage & Overtime
ADP will use reasonable professional efforts to document the event. Live events are unpredictable, so no particular person, moment, image, speech or activity can be guaranteed. Client gives ADP reasonable creative discretion over camera placement, composition, image selection and editing.
4. What You Will Receive
Client will receive the finished photographs, videos and other items listed in the Package. ADP selects and edits the material included in the finished work. Raw photographs, unedited footage, source files, project files and other working materials are not included unless ADP agrees in writing.
Revisions beyond those included in the Package may be subject to additional charges.
5. Working Together at the Event
ADP will be Client's exclusive professional photography and/or video provider for the contracted services. Guests may take personal photographs or video as long as they do not direct, block, delay or interfere with ADP. ADP has priority to position its crew and equipment for key moments and will make reasonable efforts to follow a shot list, but specific shots are not guaranteed.
Client is responsible for venue and officiant permissions and for telling ADP about restrictions. Coverage may be affected by limited access, restricted camera placement, prohibited lighting, poor lighting, late schedules or interference by guests or vendors. Client will provide accurate schedules, reasonable access and cooperation. Client is responsible for damage to ADP equipment caused by Client, guests or vendors.
6. Delivery, Downloads & Storage
ADP will deliver the finished work by the method listed in the Package, usually through an online link or gallery. Unless the Package says otherwise, the link or gallery will remain available for 60 days after delivery.
ADP will keep a backup for 30 days after delivery and may then permanently delete the files without notice. Client is responsible for downloading the finished work, checking the files and maintaining at least two backup copies.

7. Copyright & How You May Use the Work
ADP retains the copyright in all photographs, recordings and finished productions. After full payment, Client may download, copy, display and share the finished work according to the Usage Rights shown above. Personal rights allow personal and family use, including personal social media. Commercial rights allow Client to use the finished work in Client's own advertising, website and business social media. Neither option allows resale, sublicensing to another party or copyright registration without ADP's written permission.
Client is responsible for obtaining all necessary permissions and licenses for any music, photographs, graphics, logos, video or other materials Client provides or specifically requests ADP to use. Client represents that ADP's use of those materials as instructed is authorized. Client agrees to defend, indemnify and hold harmless ADP and its owners, employees and contractors from third-party claims, damages, liabilities and reasonable legal costs arising from that use.
8. Crew, Safety & Unexpected Events
ADP chooses the crew assigned to the event and may use a qualified substitute if a team member becomes unavailable. ADP may pause or leave if conditions are unsafe, illegal, threatening or likely to damage equipment. Coverage time lost because of those conditions will not be extended or refunded.
For severe weather, venue closure, emergency, government action, transportation disruption or another circumstance beyond reasonable control, the parties will try to reschedule and payments already made will be applied to the new date. If ADP cannot provide the contracted services and cannot arrange a qualified substitute, ADP will refund amounts paid for services not provided, including the retainer if no services are provided. That refund is Client's sole remedy for ADP's inability to perform.
9. Equipment & Liability
ADP uses reasonable professional care, but technology, storage systems, software and digital media can occasionally fail. If photographs, recordings or deliverables are lost, damaged or unavailable, ADP's maximum liability is the amount Client paid for the affected services.
To the extent permitted by law, ADP is not responsible for indirect or consequential damages, including lost profits, missed opportunities or emotional distress. Nothing in this Agreement limits liability that cannot legally be limited.
10. Travel, Expenses & Legal Details
Client is responsible for parking, valet, permits, venue access charges and other event-specific expenses. Travel outside ADP's standard service area may include additional charges. When coverage overlaps a normal meal period, Client will provide a meal and non-alcoholic beverage for each ADP crew member so coverage is not unnecessarily interrupted.
This Agreement and the Package are the entire agreement between Client and ADP. Changes must be in writing and approved by ADP. Notices may be sent by email. Florida law governs, and any legal proceeding must be brought in Broward County, Florida, unless the parties agree otherwise in writing. If one part is unenforceable, the rest remains effective. A decision not to enforce a term once is not a waiver. Client is responsible for reasonable collection costs for undisputed past-due amounts to the extent permitted by law. Electronic signatures and electronically transmitted copies are treated as originals.
Acceptance & Signatures
By signing below, Client confirms that the event and package information is correct and agrees to this Agreement. If signing for a company or organization, the signer confirms that they are authorized to sign on its behalf.
